Terms of Service

These Terms of Service establish the general rules for using the Mindquest Play website and for requesting, scheduling, purchasing, or participating in online learning, interactive training, facilitated workshops, educational games, team-development programs, consultations, and related services.

Engagement-specific written terms, proposals, invoices, or booking confirmations may supplement these Terms. If a specific written term for a confirmed engagement conflicts with a general term on this page, the specific written term controls for that engagement.

1. Acceptance of Terms

These Terms of Service govern access to the Mindquest Play website and the purchase, scheduling, or use of virtual workshops, game-based learning sessions, team-building programs, facilitation services, educational group programs, consultations, custom virtual game events, recurring learning support, and related services.

By requesting, purchasing, scheduling, or participating in a service, the client agrees to these Terms together with any written proposal, invoice, booking confirmation, statement of work, or other engagement-specific terms that apply.

2. Nature of the Services

Mindquest Play provides online learning, interactive training, facilitation, educational games, team-based activities, and skill-development experiences. Programs may focus on communication, problem-solving, leadership, critical thinking, creative thinking, collaboration, engagement, and related general skills.

Services are educational and facilitative. They are not clinical, therapeutic, legal, financial, employment-screening, or other licensed professional services.

3. Service Descriptions

Website descriptions explain the general purpose of each service. Actual session length, participant count, delivery method, level of customization, preparation requirements, included materials, facilitator involvement, and follow-up may differ based on the selected engagement.

A service is not considered confirmed until relevant scope, timing, pricing, and payment requirements have been accepted by the client through the applicable booking, invoice, proposal, or other written confirmation.

4. Website Pricing

Prices shown on the website are standard, starting, hourly, per-session, or recurring prices as labeled. A displayed price does not necessarily include custom design work, additional facilitators, large group requirements, special technology, extended delivery time, rush scheduling, travel, third-party platform charges, taxes, or other items outside the standard scope.

Where customization is required, the final price will be communicated before the additional work begins.

5. Quotes and Proposals

A quote or proposal may be based on information supplied by the client, including participant count, organization type, objectives, schedule, format, and required customization. If those assumptions materially change, pricing, timing, or scope may need to be revised.

Unless otherwise stated, a quote does not reserve a facilitator or session date until the required acceptance and payment conditions have been completed.

6. Client Responsibilities

The client must provide accurate information reasonably necessary to plan the service, identify a responsible organizer, communicate material accessibility or participation requirements, and ensure that participants receive appropriate joining instructions.

The client is also responsible for determining whether the selected activity is suitable for its participants and for obtaining internal approvals, parental or guardian permissions, employee notices, educational permissions, or other authorizations that apply to the client’s own organization.

7. Participant Conduct

Participants are expected to communicate respectfully, follow reasonable facilitator instructions, and avoid conduct that is abusive, harassing, threatening, discriminatory, unsafe, intentionally disruptive, unlawful, or materially inconsistent with the learning environment.

We may modify, pause, remove a participant from, or end a session when reasonably necessary to protect participants, preserve a constructive environment, address misuse, or manage serious disruption.

8. Participation by Minors

Programs involving minors must be arranged and supervised as appropriate by an authorized adult, parent, guardian, school, educational organization, or responsible coordinator.

Mindquest Play does not act as a substitute for a school, parent, guardian, licensed childcare provider, counselor, or other person responsible for the supervision and welfare of minors.

9. Scheduling

Scheduled services depend on facilitator availability. A requested date or time is not guaranteed until confirmed. Clients should review time zones, session length, and participant availability before accepting a schedule.

If a client arrives late, has incomplete participant attendance, or is not ready to begin at the confirmed time, the session may still end at the originally scheduled time unless an extension is agreed and facilitator availability permits.

10. Rescheduling and Cancellation

Rescheduling and cancellation are subject to the Cancellation & Refund Policy and to any engagement-specific terms communicated before purchase or booking.

Custom preparation, reserved facilitator capacity, completed planning, and third-party costs may affect refund or rescheduling eligibility.

11. Technology Requirements

Virtual services may require reliable internet access, a compatible device, functioning audio, and access to a video conferencing or digital collaboration platform. The client is responsible for confirming that its participants can access the required technology.

We are not responsible for failures caused by a participant’s device, local network, firewall, software restrictions, unsupported browser, local power failure, or third-party system that is outside our reasonable control.

12. Third-Party Platforms

Services may use third-party conferencing, collaboration, scheduling, survey, presentation, payment, or file-sharing services. Those platforms are operated independently and may have their own accounts, terms, privacy practices, system requirements, and service limitations.

Mindquest Play does not guarantee uninterrupted availability of an independent platform. If a platform problem materially affects delivery, we will determine a reasonable alternative when practicable.

13. Custom Content and Materials

Custom programs may include activity design, session sequencing, facilitator notes, presentation materials, prompts, worksheets, or digital collaboration resources. Delivery timing depends on the agreed scope and on timely client input.

Unless a written agreement states otherwise, custom materials are provided for the agreed client use and do not transfer ownership of the underlying methodology, templates, original game mechanics, facilitator framework, or reusable training content.

14. Recording and Screenshots

Clients and participants may not record a session, capture session materials for redistribution, or publish screenshots containing proprietary content or other participants without appropriate authorization.

Any approved recording arrangement must be confirmed in advance and may be subject to participant consent, privacy restrictions, and limits on distribution.

15. Intellectual Property

Website content, original educational materials, session structures, game mechanics, written exercises, training frameworks, graphics, brand elements, and other original materials are protected by applicable intellectual property rights.

Limited client use is described in the Intellectual Property Policy. No right to resell, license, publicly distribute, or commercially exploit proprietary materials is granted unless stated in writing.

16. Confidential Information

During service planning, a client may share non-public business or group information. Clients should limit such information to what is necessary for the engagement and should not send trade secrets, regulated data, credentials, or highly sensitive information through ordinary website forms.

We will use reasonable care with non-public client information received for a service, but a specific confidentiality obligation should be documented in writing when the client requires formal confidentiality terms.

17. Educational Disclaimer

Activities are designed to support learning and reflection, not to guarantee a specific result. Participation does not guarantee improved performance, promotion, employment outcome, academic outcome, business result, team cohesion, or resolution of a workplace or interpersonal issue.

18. No Employment or Psychological Assessment

Interactive games, challenges, and observations are not validated employment tests, psychological assessments, clinical instruments, or professional diagnostic tools.

Clients should not use a participant’s performance in a Mindquest Play activity as the sole basis for hiring, firing, promotion, discipline, diagnosis, treatment, or other high-impact decisions.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Mindquest Play will not be responsible for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the website or services.

Where a direct monetary liability cannot lawfully be excluded, aggregate liability arising from a specific paid engagement will not exceed the amount paid to Mindquest Play for the service giving rise to the claim, except where applicable law requires otherwise.

20. Indemnification

To the extent permitted by law, a client agrees to be responsible for claims, losses, or costs arising from information the client was not authorized to provide, unlawful use of the service, material violation of these Terms, infringement caused by client-provided materials, or participant conduct under the client’s control.

This section does not require a client to indemnify Mindquest Play for conduct that cannot lawfully be shifted by agreement.

21. Force Majeure and Events Outside Reasonable Control

Neither party is responsible for delay or failure caused by events outside reasonable control, including major internet outages, platform failures, natural disasters, severe weather, public emergencies, labor disruptions, government actions, or widespread infrastructure failures.

When such an event affects a scheduled service, the parties will make reasonable efforts to reschedule or agree on an appropriate alternative.

22. Suspension or Refusal of Service

We may decline, postpone, or discontinue a service when payment requirements are not met, necessary information is not provided, the requested use is unlawful or unsafe, participant conduct is materially disruptive, or delivery would create unreasonable operational or legal risk.

23. Changes to Services

We may update service descriptions, delivery methods, tools, pricing, or website content over time. Changes do not retroactively alter a confirmed paid scope unless the client agrees or a change is reasonably necessary for safety, law, platform availability, or service continuity.

24. Severability and Entire Agreement

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law. These Terms, together with any engagement-specific written agreement, form the agreement for the applicable service.

Informal statements do not modify a confirmed agreement unless the change is accepted by an authorized representative and documented in writing.

25. Updates to These Terms

We may revise these Terms when business practices, services, technology, or legal requirements change. The updated date at the top identifies the current website version.
